Partnership Program Terms

‍Introduction

These Partnership Program Terms (“Terms”) outline the terms and conditions governing the partnership program (“Program”) managed by SquadApp Technologies Inc. (“Squad.App” or “we,” “us,” “our”). The Program is designed to facilitate collaboration between Squad.App and Program participants that meet eligibility criteria below and refer marketing offers from brands to us (“Offers”) for compensation (“Participants”).

Terms constitute an agreement between you and us, so please read these Terms carefully. The Terms differ from our Terms of Use, available at https://www.squad.app/terms-of-use, and apply only to the Program.

By participating in the Program, you agree to be bound by the Terms, our Terms of Use (https://www.squad.app/terms-of-use), and Privacy Policy (https://www.squad.app/privacy). If you do not accept or understand the Terms, please do not participate in the Program.

Changes to the Terms

The Terms can be updated from time to time. Please check back periodically for the latest version of the Terms. If any significant changes are made to the Terms, we will notify you. Your participation in the Program following any changes to these Terms constitutes your acceptance of any such changes. Squad.App may change eligibility criteria described below or reject access to the Program at its discretion at any time with or without notice.

Eligibility and Participation

To participate, Participants must meet specific criteria, including:

Engagement Rate (ER): at least 0.5-1%.
Audience Authenticity: the percentage of fake followers or bots should not exceed 25%.
Account Activity: the last post was made within the previous 30 days.
Platforms: must be active on one or more of the following platforms: Instagram (IG), YouTube (YT), TikTok (TT), Twitch / Kick.
Language: must be able to create English-speaking content and/or have metadata in English.
Following: at least 100,000 followers or subscribers.
Sponsorship Activity: at least one monthly sponsored placements in the Participant’s social media account(s).
Contact Information: the Participant’s profile header or social network account description must include a working email for receiving offers, which will be forwarded to us.

To participate in the Program, Participants must register in the personal dashboard (https://creator.squad.app/affiliate) (“Dashboard”), agree to these Terms, and provide necessary contact and payment information.

Program Participation

Participant(s) must register each email address used for sending Offers in their account's "Alternative Emails" section.

Sending Offers Options.The Offer may be sent to Squad.App by one of two options.

When responding to an Offer, Participant(s) should convey their inability to participate and suggest Squad.App as an alternative, directing this communication to campaign@squad.app with full correspondence history and original metadata included.
Offers should be directly forwarded to campaign@squad.app.

‍Remuneration and Payment

Participant(s) are eligible to receive the following compensation:

One-time fee in the amount of $5 for a forwarded Offer that fits eligibility criteria described above; and
If the Offer is accepted and a contract with the brand is signed, 5% of the budget of the Offer that fits eligibility criteria described above.

Payments are processed through the Dashboard once the minimum balance of $100 is reached. Squad.App Terms of Use apply to financial transactions and third-party payment service providers.

Squad.App reserves the right to withhold payment for any email suspected of being altered or distorted. Only original, unmodified emails will be accepted.

Real-time updated statistics and payment procedures are specified within the Dashboard for the Program.

Obligations, Representations, and Warranties of Participants

Participants agree to forward eligible brand offers to Squad.App.

Participants represent and warrant that they don’t have legal restrictions on participating in the Program due to other exclusive contracts signed with agencies or brands.

Participants shall not collaborate with accounts associated with scams or containing adult content, fan accounts, accounts with political content, or violence.

Participants must not engage in activities that could harm the reputation of Squad.App or violate any laws.

Compliance Terms for Offers

Vertical Compliance: Offers must not relate to activities that fall within illegal or ethical gray areas. Specifically, offers in the following categories shall be deemed non-compliant for the Program, unless we decide otherwise in our discretion:

Gambling and betting,
Alcohol and smoking,
Weapons and drugs,
Pharmaceuticals and prohibited supplements,
Politics,
Adult content-related products and services,
Piracy-related websites,
Manipulative schemes of a dubious nature,
Promotion of pseudoscience,
Controversial educational courses,
Diets and weight loss programs, and
Loans and financial services.

Offer Timeliness: The Offer must be sent by the creator within 48 hours of its receipt, ensuring the Offer's relevance and the ability to respond quickly.
Offer Content: An unmodified proposal from the company, stating the company's name and a specific promotion proposal on the Participant's social media platform.
Offer Transmission Format: The Participant responds to the email with the Offer, cc’s Squad.app, and writes an introductory message.
Other Criteria:

Offers must be for monetary compensation, not barter.
Offers must have a proposal for fixed payment, excluding CPA (Cost Per Action) format.

Source Authentication: Offers must originate from an email address associated with the official domain of the company that makes an Offer. Alternative domains may be used, provided they do not cast doubt upon the legitimacy of the Offer. At our discretion, we can but under no obligation to accept other sources of Offers.
Text Authenticity: The forwarded Offer content and metadata shall remain the same. If we have a suspicion that the forwarded Offer is not authentic, we can declare it ineligible at our discretion.

Offers Limit: We can limit the amount of Offers that Participant is allowed to forward to us at our discretion.

Notwithstanding anything above, we reserve the right to declare an Offer ineligible for any reason.

If the Offer you submitted is ineligible, you will not receive any payment, and we will not attempt to monetize on such Offer so long as it remains ineligible in accordance with these Terms.

Intellectual Property Rights

Participants grant us a perpetual, exclusive, transferable, worldwide license to use the content associated with the forwarded Offers.

Disputes and Cancellations

All transactions pursuant to the Program are final. Squad.app, through its third-party payment processors, reserves the right to cancel orders or place funds on hold for any suspected fraudulent transactions.

Offer Confidentiality

Participants agree to maintain the confidentiality of any sensitive information related to the Program and to comply with all applicable data protection laws.

Participants may receive certain confidential information from Squad.App and agree to treat any such information as highly sensitive, top secret and classified material. Without derogating from the generality of the above, Squad.App specifically agree to (i) maintain all such information in strict confidence; (ii) not disclose the information to any third parties; (iii) not use the information for any purpose except for delivering the ordered work; and (vi) not to copy or reproduce any of the information without the Squad.App’s permission.

DISCLAIMER OF WARRANTIES. THE PROGRAM IS PROVIDED “AS IS”. SQUADAPP MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM INCLUDING ANY REPRESENTATION THAT ANY SERVICES THEREUNDER WILL BE UNINTERRUPTED OR ERROR-FREE. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, SQUADAPP DISCLAIMS ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE IN RESPECT OF THE PROGRAM. THE PROGRAM MAY NOT OPERATE ACCURATELY AND MAY BE SUBSTANTIALLY MODIFIED OR WITHDRAWN AT ANY TIME. ACCORDINGLY, ACCESS TO AND USE OF THE PROGRAM IS ENTIRELY AT PARTICIPANTS’ OWN RISK. IN NO EVENT SHALL SQUADAPP BE LIABLE FOR ANY DAMAGE WHATSOEVER ARISING OUT OF THE PARTICIPATION OF OR INABILITY TO PARTICIPATE IN THE PROGRAM.

Miscellaneous

Provisions in the Squad.App Terms of Use (https://www.squad.app/terms-of-use) and Privacy Policy (https://www.squad.app/privacy), including but not limited to those governing ownership of work, intellectual property, copyrights, privacy, warranties, third-party service providers and links, apply to the Program unless these Terms expressly regulate this kind of relationships in a different manner.

Updates to The Program

We may issue updates or upgrades to the Program and disable access to the Program for any period of time or permanently. You agree that we will not be liable to you for any interruption of the Program.

Indemnity

You agree to defend, indemnify, and hold us harmless from any claim, losses, obligations, damages, or expenses arising from your participation in the Program, your breach of these Terms, or your violation of any law or the rights of a third party.

Governing Law and Resolution of Disputes

All claims relating to these Terms or the Program will be governed by the laws of the State of New York, excluding its conflict-of-laws rules. Any claim will be resolved by the American Arbitration Association or JAMS. You agree that any cause of action arising out of or related to the Program must commence within one year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

Term And Termination

You may stop participating in the Program or delete your account at any time if you contact us at privacy@squad.app.

We reserve the right to discontinue the Program at any time without notice. We may also terminate or suspend your access to the Program without notice if (a) you violate these Terms or (b) we are required to do so to comply with a legal requirement or court order.
